MECOB Associate Membership Agreement

The Middle East Chamber of Buyers is owned by “Maelle Group LLC”, (“The Association”), duly organized and existing under the laws of Sharjah Emirate, having its registered office at Sharjah Media City, Sharjah, UAE, P.O. BOX 515000, and Licence no 2113190.01 represented by Ms Martina Grisolia (owner).

1. Membership Recognition

  • The Associate acknowledges and agrees to become a member of The Middle East Chamber of Buyers “MECOB”, association founded in 2023, under the auspices of Maelle Group.
  • The Associate recognizes that membership in MECOB provides access to exclusive benefits and privileges outlined in this Agreement.

In consideration of the parties entering into the Project, the parties hereby undertake to each other to abide by the terms of this letter.

2. Rights and Benefits

2.1 As a registered member of The Association, the Associate is entitled to the following rights and benefits:

2.2 Priority access, subject to budget availability, to complimentary travel opportunities to attend fashion weeks in Milan and Paris and London, including but not limited to accommodation, transportation, and additional bonuses such as TNC/car.

2.3 The membership term shall commence on the Effective Date and continue for one (1) year. The Agreement may be renewed under similar and/or different conditions, subject to review.

2.4 The Associate shall not be subject to any additional costs or fees from MECOB for the validity of this contract.

2.5 The Association will work collaboratively with the Associate to issue a press release formalizing their participation in the Association within 10 days from the signing of the Agreement.

2.6 Associates will have the privilege of utilizing the Association’s website to announce their latest developments, such as the opening of a new store, the launch of a new product under their brands, in-store events, etc., for promotional purposes. They can directly submit photos, press releases, and other materials to the Association for publication. The Associate may benefit from the service of having their activities transmitted through the newsletter only upon confirmation (authorized by the Associate) to subscribers.

3. Connections and Networking

The Associate acknowledges that the Association fosters networking opportunities and facilitates connections among fashion retailers, providing valuable platforms for engaging with industry professionals, sharing insights, and forming profitable partnerships.

4. Exclusive Partnerships

The Associate understands that through the Association, it gains access to exclusive partnerships with relevant business entities, resulting in discounts and special benefits on various services such as clothing supplies, shipping, sales management software, and marketing.

5. Personalized Support and Expert Advice

The Associate recognizes that The Association offers personalized support and expert advice from its experienced team to address business challenges, optimize marketing strategies, and refine sales tactics, aiding the Associate in achieving its business objectives. These services, available at additional fees, are separate from the Chamber’s participation. However, as a member of The Association, the Associate enjoys privileged access to these services, crucial for addressing sustainability, obtaining certifications, staff training, and more.

6. Collaboration Opportunities with Influencers and Media

The Associate acknowledges that the Association facilitates collaboration opportunities between the Associate’s shops/stores and industry influencers and local media, enabling effective product and brand showcase to a broader audience, thereby enhancing brand awareness and increasing sales.

7. Associate Schedule Coordination

The Association facilitates partnerships with worldwide fashion weeks and offers the creation of a schedule, for the Associate featuring fashion, jewelry, or cosmetics brands aligned with their research. This includes access to showrooms, invitations to fashion shows, presentations, and private appointments, optimizing their search, saving time, and facilitating communication between parties. Some of these brands may or may not be contracted clients of Maelle Group.

8. Newsletter Subscription and Updates

Associate members are automatically enrolled in the newsletter subscription and receive regular updates on Association activities, including the launch of new brands in the Middle East and territories pertinent to the Associate, fashion industry news, and insider updates, etc.

9. Membership Obligations

The Associate agrees to furnish the Association with the following materials within 10 days from the commencement of the membership agreement, to facilitate their inclusion on the Association’s website and formalize their participation:

  • High-definition logos in AI vector, .png, and .jpeg formats. In case of multiple logos, all formats should be provided, of all the brands that will benefit from the membership and which are included in this Agreement (section 10.1).
  • A detailed description of the multi-brand store/stores, including their history, core values, and relevant information such as addresses of locations, phone numbers, and website.
  • High-definition photos of the store/stores (min 5 photos).
  • At least one High-definition photo of the founder/owner/head of buying.
  • All relevant information such as addresses of locations, phone numbers, and website of each store.

10. Term

This Agreement shall commence on the Effective Date and shall continue for one (1) year. The contract may be renewed under similar and/or different conditions, subject to review.

11. Termination

Either party may terminate this Agreement upon written notice to the other party. Termination of participation in the association shall take immediate effect; however, it does not absolve the Associate from any expenses related to services offered by the Association, external to and not included in this contract, even upon termination of Associate status.

11.1 Upon the conclusion of this Agreement, the Associate grants The Association the right to continue using the Associate’s logo and general brand and company information, identifying the Associate as a former member. The Association is authorized to include such information in case studies and promotional materials related to its services, including on its website, social media platforms, and other marketing channels. Furthermore, the Associate authorizes The Association to use multimedia content (such as photos and videos), written and verbal quotes, and results achieved during the term of the Agreement for the purpose of showcasing The Association’s capabilities and achievements.

12. Governing Law

12.1 This Agreement is governed by the laws of the Dubai International Financial Centre (“DIFC”). Any dispute, difference, controversy or claim arising out of or in connection with this Agreement, including any question regarding its existence, validity, interpretation, performance, discharge and applicable remedies, will be subject to the exclusive jurisdiction of the Courts of the DIFC Small Claims Tribunal (“SCT”). For disputes that do not qualify for determination through the SCT, the Courts of the DIFC will have exclusive jurisdiction to settle such dispute. The losing party will bear the cost of the legal proceedings in full, including all reasonable legal fees, court fees and related expenses.

Before resorting to arbitration, the parties agree to attempt to resolve any disputes through good-faith negotiations.

12.2 By signing this form, the Associate registers with the Association under their brands/store. The Associate warrants being duly authorized to represent and act on behalf of the aforementioned brands within the scope of this Association.

12. Governing Law

12.1 This Agreement is governed by the laws of the Dubai International Financial Centre (“DIFC”). Any dispute, difference, controversy or claim arising out of or in connection with this Agreement, including any question regarding its existence, validity, interpretation, performance, discharge and applicable remedies, will be subject to the exclusive jurisdiction of the Courts of the DIFC Small Claims Tribunal (“SCT”). For disputes that do not qualify for determination through the SCT, the Courts of the DIFC will have exclusive jurisdiction to settle such dispute. The losing party will bear the cost of the legal proceedings in full, including all reasonable legal fees, court fees and related expenses.

Before resorting to arbitration, the parties agree to attempt to resolve any disputes through good-faith negotiations.

The Middle East Chamber of Buyers is owned by “Maelle Group LLC”, (“The Association”), duly organized and existing under the laws of Sharjah Emirate, having its registered office at Sharjah Media City, Sharjah, UAE, P.O. BOX 515000, and Licence no 2113190.01 represented by Ms Martina Grisolia (owner).

1. Membership Recognition

• The Associate acknowledges and agrees to become a member of The Middle East Chamber of Buyers “MECOB”, association founded in 2023, under the auspices of Maelle Group.
• The Associate recognizes that membership in MECOB provides access to exclusive benefits and privileges outlined in this Agreement.
In consideration of the parties entering into the Project, the parties hereby undertake to each other to abide by the terms of this letter.

2. Rights and Benefits

2.1 As a registered member of The Association, the Associate is entitled to the following rights and benefits:
2.2 Priority access, subject to budget availability, to complimentary travel opportunities to attend fashion weeks in Milan and Paris and London, including but not limited to accommodation, transportation, and additional bonuses such as TNC/car.
2.3 The membership term shall commence on the Effective Date and continue for one (1) year. The Agreement may be renewed under similar and/or different conditions, subject to review.
2.4 The Associate shall not be subject to any additional costs or fees from MECOB for the validity of this contract.
2.5 The Association will work collaboratively with the Associate to issue a press release formalizing their participation in the Association within 10 days from the signing of the Agreement.
2.6 Associates will have the privilege of utilizing the Association’s website to announce their latest developments, such as the opening of a new store, the launch of a new product under their brands, in-store events, etc., for promotional purposes. They can directly submit photos,
press releases, and other materials to the Association for publication. The Associate may benefit from the service of having their activities transmitted through the newsletter only upon confirmation (authorized by the Associate) to subscribers.

3. Connections and Networking

The Associate acknowledges that the Association fosters networking opportunities and facilitates connections among fashion retailers, providing valuable platforms for engaging with industry professionals, sharing insights, and forming profitable partnerships.

4. Exclusive Partnerships

The Associate understands that through the Association, it gains access to exclusive partnerships with relevant business entities, resulting in discounts and special benefits on various services such as clothing supplies, shipping, sales management software, and marketing.

5. Personalized Support and Expert Advice

The Associate recognizes that The Association offers personalized support and expert advice from its experienced team to address business challenges, optimize marketing strategies, and refine sales tactics, aiding the Associate in achieving its business objectives. These services, available at additional fees, are separate from the Chamber’s participation. However, as a member of The Association, the Associate enjoys privileged access to these services, crucial for addressing sustainability, obtaining certifications, staff training, and more.

6. Collaboration Opportunities with Influencers and Media

The Associate acknowledges that the Association facilitates collaboration opportunities between the Associate’s shops/stores and industry influencers and local media, enabling effective product and brand showcase to a broader audience, thereby enhancing brand awareness and increasing sales.

7. Associate Schedule Coordination

The Association facilitates partnerships with worldwide fashion weeks and offers the creation of a schedule, for the Associate featuring fashion, jewelry, or cosmetics brands aligned with their research. This includes access to showrooms, invitations to fashion shows, presentations, and private appointments, optimizing their search, saving time, and facilitating communication between parties. Some of these brands may or may not be contracted clients of Maelle Group.

8. Newsletter Subscription and Updates

Associate members are automatically enrolled in the newsletter subscription and receive regular updates on Association activities,
including the launch of new brands in the Middle East and territories pertinent to the Associate, fashion industry news, and insider updates, etc.

9. Membership Obligations

The Associate agrees to furnish the Association with the following materials within 10 days from the commencement of the membership agreement, to facilitate their inclusion on the Association’s website and formalize their participation:

  • High-definition logos in AI vector, .png, and .jpeg formats. In case of multiple logos, all formats should be provided, of all the brands that will benefit from the membership and which are included in this Agreement (section 10.1).
  • A detailed description of the multi-brand store/stores, including their history, core values, and relevant information such as addresses of locations, phone numbers, and website.
  • High-definition photos of the store/stores (min 5 photos)
  • At least one High-definition photo of the founder/owner/head of buying.
  • All relevant information such as addresses of locations, phone numbers, and website of each store.

10. Term

This Agreement shall commence on the Effective Date and shall continue for one (1) year. The contract may be renewed under similar and/or different conditions, subject to review.

11. Termination

Either party may terminate this Agreement upon written notice to the other party. Termination of participation in the association shall take immediate effect; however, it does not absolve the Associate from any expenses related to services offered by the Association, external to and not included in this contract, even upon termination of Associate status.
